Dongguan Elecbee Technology Co. Ltd ("Elecbee", "we", or "us") hereby reminds you, our customers ("customer", "you", or "your"), that by accessing, visiting, browsing, using, or attempting to interact with any part of Elecbee, you agree to be bound by the following Terms and Conditions. These Terms and Conditions may be modified at any time and from time to time. Any changes will be effective immediately upon posting the revised terms and conditions. Your continued access to Elecbee implies your default consent to all the changes.

Part One: General Provisions and Definitions

1.1. Application: These Terms and Conditions will apply to the purchase of goods by you from Elecbee. By ordering any of the Goods, you agree to be bound by these Terms and Conditions and our Return Policy.

1.2. Legal Agreement: As we can accept your order and make a legally enforceable agreement without further reference to you, you must read these Terms and Conditions to ensure that they contain all that you want and nothing that you are not happy with. If you are not sure about anything, please do not hesitate to contact us.

1.3. Interpretation:

• Consumer: means an individual acting for purposes which are wholly or mainly outside his or her trade, business, craft, or profession.
• Contract: means the legally binding agreement between you and us for the sale and purchase of the Goods.
• Delivery Location: means the supplier's premises or other location where the goods are to be supplied, as set out in the Order.
• Goods: means any goods that we supply to you, of the number and description as set out in the order.
• Order: means the Customer's order for the Goods from the Supplier as set out in the Customer's order or in the Customer's written acceptance of the Supplier's quotation.
• Non-Standard Products (NC/NR): refers to products Elecbee has to order from a supplier specifically for the Customer, or products not normally in stock, or orders where value-added services have been incorporated into products. These products are typically non-cancelable and non-refundable. Elecbee may identify Products as non-standard or "NC/NR" by various means including quotes, product lists, attachments, or exhibits.

Part Two: Goods Description and Order Management

2.1. Goods Description: The description of the Goods is as set out in our website, catalogs, brochures, or other forms of advertisement. Any description is for illustrative purposes only, and there may be small discrepancies in color or size. In the case of Goods made to your special requirements, it is your responsibility to ensure that any information you provide is accurate.

2.2. Basis of Sale: The description of the Goods in our website, catalogs, brochures, or other forms of advertisement does not constitute a contractual offer to sell the Goods. When an Order has been made, we can reject it for any reason, although we will try to tell you the reason without delay.

2.3. Contract Formation: A Contract will be formed for the Goods ordered, only upon the Supplier sending an email to the Customer saying that the Order has been accepted, or if earlier, the Supplier's delivery of the Goods to the Customer. Any quotation is valid for a maximum period of 7 days from its date, unless we expressly withdraw it at an earlier time.

2.4. Order Acceptance, Modification, and Cancellation:

• All orders are supposed to be placed online. Steps: Add parts to the shopping cart > check out > choose shipping method > choose payment option > submit the order > order confirmation > delivery.
• Orders may not be canceled or rescheduled without Elecbee’s agreement. Unpaid orders can be canceled by the Customer on their own account.
• Should there be any changes to a paid order, Customers should call or email the support team in time.
• Non-Standard Products (NC/NR): Once confirmed, non-standard product orders are generally non-cancelable and non-refundable.
• Paid Order Cancellation: If an order has begun to proceed in Elecbee warehouses, a handling fee of 0.5 USD per item may be charged if the customer cancels the order.
• Backorder Cancellation: Backorders cannot be canceled by customers after payment or any contract and agreement are confirmed. If it must be canceled due to insufficient supply, Elecbee customer service staff will contact you.
• Elecbee reserves the right to cancel any order due to unexpectedly insufficient supply by the supplier.
• Elecbee reserves the right to decline to trade with any company or person.

2.5. Customer Obligations: The Member agrees to provide all necessary information, materials, and approval, and render all reasonable assistance and cooperation necessary for Elecbee’s provision of the Services, evaluating whether the Member has breached the Terms and/or handling any complaint against the Member. If the Member’s failure to do so results in delay in, or suspension or termination of, the provision of any Service, Elecbee shall not be obliged to extend the relevant service period nor shall be liable for any loss or damages arising from such delay, suspension, or termination.

Part Three: Price and Payment

3.1. Goods Price: The price of the Goods and any additional delivery or other charges for the Goods, and the total price of them and the charges, is that set out in our price list current at the date we accepted the order or such other price as we may agree in writing. Prices and charges include VAT at the rate applicable at the time of the Order. We endeavor to ensure that prices for Supplies are accurately set out in the Catalogue but do not guarantee the currency or accuracy of any such information. Quotes and pricing for undelivered Products may change at any time, including, without limitation, in the event of any increase in Elecbee's cost, changes in market conditions, quoting errors, or any other causes beyond Elecbee’s reasonable control.

3.2. Exclusions of Taxes and Fees: Prices are exclusive of taxes, impositions, and other charges, including sales, use, excise, value-added and similar taxes or charges imposed by any government authority, international shipping charges, forwarding agent's and broker's fees, bank fees, consular fees, and document fees.

3.3. Price Protection: Elecbee does not provide a Price Protection Service. Customers acknowledge that they cannot cancel or return products, and Elecbee will not refund the difference if the product's price drops after purchase, including but not limited to the following factors:

1. Elecbee slashes prices for a clearance sale.
2. Elecbee obtains new stock at a better price.
3. Elecbee adjusts the price to comply with market fluctuations.

3.4. Payment Methods and Terms: Payment for Goods must be made at least 1 day in advance of delivery. You must pay in cash, by PayPal, or by submitting your credit or debit card details with your order, and we can take payment immediately or otherwise before delivery of the Goods. Elecbee offers the following payment methods:

1. PayPal
2. Credit/ Debit Card
3. Wire Transfer

3.5. Bank Charges and Overdue Payments: Customers are deemed to be responsible for all bank charges, such as the wire charge and intermediary bank charge. The shipment may be affected if there is any shortage of the remittance amount given on the invoice. All late payments shall be charged interest of 1.5% per month. If Customer fails to make payment when due, Elecbee may pursue any legal or equitable remedies. Elecbee reserves the right to establish and/or change credit and payment terms extended to Customer when, in Elecbee’s sole opinion, Customer’s financial condition, or previous payment record warrants such action. Further, on delinquent accounts, Elecbee shall not be obligated to continue performance under any agreement with Customer.

Part Four: Delivery and Logistics

4.1. Delivery Time: We will deliver the Goods to the Delivery Location by the time or within the period agreed, or failing any agreement, without undue delay and, in any event, not more than 60 days after the day on which the Contract is entered into.

4.2. Delayed Delivery: In any case, regardless of events beyond our control, if we do not deliver the Goods on time, you can (in addition to any other remedies) treat the Contract at an end if: a. We have refused to deliver the Goods, or if delivery on time is essential taking into account all the relevant circumstances at the time the contract was made, or if you told us before the Contract was made that delivery on time was essential; or b. After we have failed to deliver on time, you have specified a later period which is appropriate to the circumstances, and we have not delivered within that period. If you treat the Contract at an end, we will (in addition to other remedies) promptly return all payments made under the Contract.

4.3. Partial Cancellation or Rejection: If you were entitled to treat the Contract at an end, but do not do so, you are not prevented from canceling the Order for any Goods or rejecting Goods that have been delivered and, if you do this, we will (in addition to other remedies) without delay return all payments made under the Contract for any such canceled or rejected Goods. If the Goods have been delivered, you must return them or allow us to collect them from you, and we will pay the costs of this. If any Goods form a commercial unit (a unit is a commercial unit if the division of the unit would materially impair the value of the goods or the character of the unit), you cannot cancel or reject the Order for some of those Goods without also canceling or rejecting the Order for the rest of them.

4.4. Installment Delivery: You agree we may deliver the Goods in installments if we suffer a shortage of stock or other genuine and fair reason, subject to the above provisions and provided you are not liable for extra charges.

4.5. Customer Failure to Take Delivery: If you or your nominee fail, through no fault of ours, to take delivery of the Goods at the Delivery Location, we may charge the reasonable costs of storing and redelivering them.

4.6. Examination of Goods: The Goods will become your responsibility from the completion of delivery or Customer collection. You must, if reasonably practicable, examine the Goods before accepting them.

4.7. Shipping Costs and Duties: Elecbee may use any method of delivery available. The shipping costs will be prepaid and added to your order if the Elecbee bill account is selected. All import licenses, duties, tariffs, taxes, and brokerage fees will be Customer's responsibility.

4.8. Handling/Restocking Fee: There is no minimum order amount required. However, to cover the labor cost, a certain handling fee will be added to the Customer's order if the total merchandise value is less than $15. Orders will be immediately processed by Elecbee once they are made by the Customer. In this way, any wish to cancel part of an order or the whole order may incur a restocking fee of 15%.

Part Five: Risk and Title

5.1. Transfer of Risk: Risk of damage to, or loss of, the Goods will pass to you when the Goods are delivered to you.

5.2. Transfer of Title: You do not own the Goods until we have received payment in full. If full payment is overdue or a step occurs towards your bankruptcy, we can choose, by notice, to cancel any delivery and end any right to use the Goods still owned by you, in which case you must return them or allow us to collect them.

Part Six: Order Withdrawal, Return, and Refund Policy

6.1. Order Withdrawal: You can withdraw the Order by telling us before the Contract is made, if you simply wish to change your mind and without giving us a reason, and without incurring any liability.

6.2. Returns and Refunds:

• Return Period: Returns are normally required to be submitted within 30 days from the date the parcel is delivered.
• Return Reasons: Elecbee does not accept return requests if it is not due to quality reasons.
• Return Process: Customer should contact a Customer Service Representative for a Return Materials Authorization (RMA).
• Return Conditions: All returned items must be in the original packaging, unused, untested, un-programmed, and in a resalable condition.
• Special Products: Any ESD, programmable semiconductors, or moisture-sensitive product returned that has been opened will not be eligible for credit.
• Return Freight: If Elecbee agrees to accept a return, return freight charges must be prepaid by Customer. Elecbee will not accept COD shipments.
• Restocking Fee: Products returned solely due to Customer error may be subject to a 15% restocking charge.
• Non-Cancelable/Non-Returnable (NC/NR) Products: At the time of purchasing, Customer understands that "NC/NR" products are obtained by Elecbee from the manufacturer specifically for the Customer. Irrespective of circumstances, the Customer agrees that "NC/NR" products may not be canceled, returned, or rescheduled by the Customer without the agreement of both Elecbee's supplier and the consent of Elecbee. Products labeled as moisture-sensitive or Electro-Static Sensitive (ESD) are NC/NR if the packaging has been opened.

Part Seven: Conformity and Guarantee

7.1. Contractual Conformity: We have a legal duty to supply the Goods in conformity with the Contract, and will not have conformed if it does not meet the following obligation: a. Be of satisfactory quality; b. Be reasonably fit for any particular purpose for which you buy the Goods which, before the Contract is made, you made known to us (unless you do not actually rely, or it is unreasonable for you to rely, on our skill and judgment) and be fit for any purpose held out by us or set out in the Contract; and c. Conform to their description. It is not a failure to conform if the failure has its origin in your materials.

7.2. Manufacturer's Guarantee: We will immediately, or within a reasonable time, give you the benefit of the free guarantee given by the manufacturer of the Goods. Details of the guarantee, including the name and address of the manufacturer, the duration and territorial scope of the guarantee, are set out in the manufacturer's guarantee provided with the Goods. This guarantee will take effect at the time the Goods are delivered and will not reduce your legal rights. Elecbee shall have no liability towards Customer beyond the express terms of such manufacturer product warranties. Elecbee assumes no liability for the quality of the work performed or services rendered by third-party vendors/service providers. It is Customer's obligation to request copies of any applicable manufacturer warranties, and Customer shall be deemed to have accepted such warranties upon acceptance of the Products and/or Services.

7.3. Elecbee Contractual Warranty: The contractual warranty period of our products is fixed at 6 months. The warranty period runs from the date of purchase indicated on the invoice. Elecbee warranty shall not apply:

• To accessories such as but not limited to washers, nuts;
• To normal wear of the product;
• In case of repair or intervention on the product by any unauthorized personnel or any person outside Elecbee After-Sales Service;
• To shocks or damage occurred during transportation directly or indirectly linked to the products warranty;
• To the installation or use of the product in contradiction with technical and safety standards, notably, use of the product in contradiction with the guidelines indicated in the product's user manual and safety instructions;
• To failures, defects, flaws caused by clogging, corrosion, rust, drought, humidity, excessive temperatures, sand or dust, oxidization, unless we confirm the items can withstand it by writing in advance.

Part Eight: Limitation of Liability

8.1. Force Majeure: In the event of any failure by a party because of something beyond its reasonable control: a. The party will advise the other party as soon as reasonably practicable; and b. The party's obligations will be suspended so far as is reasonable, provided that that party will act reasonably, and the party will not be liable for any failure which it could not reasonably avoid, but this will not affect the Customer's above rights relating to delivery. Under no circumstances shall Elecbee.com be held liable for any delay or failure or disruption of the content or services delivered through the Site resulting directly or indirectly from acts of nature, forces or causes beyond our reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.

8.2. Exclusion of Liability: The Supplier does not exclude liability for: (i) any fraudulent act or omission; or (ii) for death or personal injury caused by negligence or breach of the Supplier's other legal obligations. Subject to this, the Supplier is not liable for (i) loss which was not reasonably foreseeable to both parties at the time when the Contract was made, or (ii) loss (e.g., loss of profit) to the Customer's business, trade, craft, or profession which would not be suffered by a Consumer because the Supplier believes the Customer is not buying the Goods wholly or mainly for its business, trade, craft, or profession.

8.3. Limitation of Liability Cap: In no event shall Elecbee be liable to you or to any third party for any indirect, incidental, special, consequential, punitive or exemplary damages (including without limitation lost profits, lost savings, or loss of business opportunity) arising out of or relating to any product, even if we have been advised of the possibility of such damages. Subject to the foregoing, in no event shall the liability of Elecbee relating in any way to any product exceed the purchase price for the product, regardless of the legal theory asserted for such liability, whether in contract, tort, warranty, or otherwise. You acknowledge that the amounts payable for the products are based in part on these limitations, and you further agree that these limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.

Part Nine: Intellectual Property

If any Product includes software or other intellectual property, such software or other intellectual property is provided by Elecbee to Customer subject to the copyright and user license, if any, for such Products, the terms and conditions of which are set forth in the license agreement accompanying such software or other intellectual property. Nothing herein shall be construed to grant any rights or license to use any software or other intellectual property in any manner or for any purpose not expressly permitted by such license agreement. Customer acknowledges and understands that Elecbee is not the manufacturer of any Products ordered or to be supplied to Customer and is not liable to Customer or any third party for any copyright, design, or patent issue, right, or claim that may arise in relation to any Product.

Part Ten: Export and Import Terms

10.1. Customer Certification: Customer certifies that it will be the recipient of Products to be delivered by Elecbee. Customer acknowledges that the Products are subject to the export and/or import control laws and regulations of various countries, and by ordering them, you agree that they will not be used in life support systems, human implantation, nuclear facilities or systems, or any other application where product failure could lead to loss of life or catastrophic property damage. The Customer shall be responsible for complying with any legislation or regulations governing the import of such products/services in the country of destination and paying any corresponding duties.

10.2. Compliance with Sanctions: Customer warrants that, without legal licenses or authorization, it will not directly or indirectly export, re-export, or transfer (or cause to be exported, re-exported, or transferred) any items purchased from Elecbee to any country, jurisdiction, individual, corporation, organization, or entity that is sanctioned or embargoed by the United States Government, the European Union, or by any other applicable governmental authorities. Due to the numerous sanctions imposed upon Russia and Belarus by governments and organizations around the world, Elecbee will not ship any Products to Russia, the Donetsk and Luhansk regions of Ukraine, and Belarus.

10.3. Customer Responsibility: Customer agrees to bear the full responsibility for the product, or for violating the relevant obligations of export restrictions. Customer agrees that Elecbee shall not be liable, in whole or in part, for any claim, loss, or damage arising out of Customer’s illegal sale, or use. If Customer breaches this Agreement, Customer will indemnify and hold Elecbee harmless from any loss, claim, or damage arising out of or resulting from such breach.

Part Eleven: Governing Law and Dispute Resolution

11.1. Governing Law: These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of China, excluding its conflict-of-law provisions. You agree that this Agreement is signed in China.

11.2. Dispute Resolution: We try to avoid any dispute, so we deal with complaints as follows: If a dispute occurs, customers should contact us directly via support@elecbee.com. We will aim to respond with an appropriate solution within 5 days. If no settlement can be reached through friendly negotiation, you unconditionally consent and agree that any claim, dispute, or controversy (whether in contract, tort, or otherwise) you may have against any Elecbee entity, the directors, agents, and employees of any Elecbee entity arising out of, relating to, or connected in any way with Elecbee, shall be submitted to the Hong Kong International Arbitration Center (HKIAC) for settlement before one (1) arbitrator in accordance with the rules of HKIAC. The arbitration shall take place in Hong Kong, and the arbitration proceedings and all pleadings and written evidence shall be in the English language, and judgment upon the award rendered by the arbitrators may be entered in any court having jurisdiction thereof. You will only be permitted to pursue claims against Elecbee on an individual basis, not as a plaintiff or class member in any class or representative action or proceeding.

Part Twelve: General Provisions

12.1. Interpretation: As used herein, terms appearing in the singular shall include the plural, and terms appearing in the plural shall include the singular.

12.2. Assignment: No rights, duties, agreements, or obligations hereunder may be assigned or transferred by Customer, by operation of law, merger, or otherwise, without the prior written consent of Elecbee. Any attempted or purported assignment shall be void.

12.3. Performance: Elecbee's obligations under these terms and conditions may be performed by divisions, subsidiaries, or affiliates of Elecbee.

12.4. Successors and Assigns: The obligations, rights, terms, and conditions hereof shall be binding on the parties hereto and their respective successors and assigns.

12.5. Waiver: The waiver of any provision hereof or of any breach or default hereunder shall not be deemed a waiver of any other provision hereof or breach or default hereunder.

12.6. Severability: Any provision hereof which is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof in that jurisdiction or affecting the validity or enforceability of the such provision in any other jurisdiction.
